Terms of Service

This Term of Service outlines how we'll work together on your video projects. Think of this as our shared agreement - it helps us both stay on the same page and ensures a smooth collaboration.

  1. Pricing & Payment

Fixed-Price & Hourly Projects

Pricing will be detailed in your Scope of Work or invoice. Fixed-price project require a deposit (typically 50%), with the remainder due upon delivery. Hourly projects are billed at the agreed rate for time spent on your work.

Work on Hold: In the event that a project requires a temporary pause at the Client’s request, or if the Client fails to provide necessary assets, direction, or feedback for more than 10 consecutive days, the project will automatically be placed on hold. Upon entering a hold state, the Client agrees to pay for all hours logged or deliverables completed up to that date. Work will not resume until all outstanding invoices are paid in full, and resumption is subject to current calendar availability.

Accepted payment methods: Stripe, Bank Transfer or as mutually agreed.

  1. Intellectual Property & Ownership

Final Deliverable

You own the final video file(s) and all rights to use, distribute, and monetize the completed work upon full payment. You may edit or re-use the final video as needed. That’s your creative work.

Editor’s IP

I retain ownership of my processes, workflows, editing techniques, presets, and templates. This agreement does not include the delivery of raw project files (e.g., DaVinci Resolve .drp or .dra) unless explicitly agreed upon in writing in the Scope of Work for an additional project-file release fee.

Portfolio & Case Study Rights

Once your video is live and out in the world, I reserve the right to show it on my portfolio, website, social media and case studies. If your project is confidential or you'd prefer I don't share it publicly, please let me know in writing. I'll respect that completely.

  1. Client Content & Materials

You confirm that any footage, images, audio, or materials you provide are either yours to use or you have permission to use them. If there's talent, locations, or copyrighted content in your materials, you've already cleared those rights. I'm just assembling what you give me - I'm not responsible for rights issues with your original content.

  1. Third-Party Assets & Licensing

I source third-party assets from licensed libraries (e.g., Envato Elements or Epidemic Sounds) and will provide licensing documentation or clear content whitelists upon request. While I ensure all assets are properly licensed, I am not liable for automated platform copyright claims, Content ID flags, or any associated revenue loss. I will assist the Client in resolving any whitelisting issues in a timely manner.

  1. Confidentiality

While I'm working on your project, I keep your content private. I won't share it with anyone (except for the technical necessities of delivering it to you, like uploading to cloud storage). Once you publish, of course, it's out there for the world - and that's when I might feature it in my portfolio or talk about it with other clients as a case study.

  1. Dispute Resolution

If we have a disagreement, here's how we'll handle it:

  • Step 1 – Let's Talk: We'll discuss the issue directly and try to reach a friendly resolution.

  • Step 2 – Mediation: If needed, we'll seek a neutral third party to help mediate.

  • Step 3 – Legal Action: Only as a last resort will either party pursue formal legal proceedings. Any claims must be brought within one year of the issue arising.

I prefer to keep things collaborative and friendly. Let's work together to solve problems rather than escalate unnecessarily.

  1. Termination & Refunds

If the Client cancels the project after work has commenced, the 50% deposit is non-refundable. Additionally, the Client will be invoiced proportionally for any work completed beyond the deposit value up to the date of termination, based on the milestones achieved.

  1. My Right to Terminate

I may pause or stop work if payment isn't received, if there's abusive conduct, or if the project involves anything illegal or unethical. I'll always communicate about this first.

  1. Changes to These Terms

With any change I may update these Terms occasionally. For ongoing clients or retainers, I'll provide notice of significant changes. Continued engagement after such notice means you accept the updated Terms.

  1. Governing Law

These Terms are governed by the laws of Romania. I won't be liable for indirect or unexpected damages from the use of your video, and my total responsibility is capped at what you paid for the project.

That said, I care about doing good work. This clause is just standard protection - I'm here to support your project and make sure you're happy.
